CERTIFICATE OF CONTINUANCE
Notice is hereby given, in accordance with subsection 39.1(2) of the Bank Act (Canada) [the “Act”], that Exchange Bank of Canada (“EBC”) intends to apply to the Minister of Finance, on or after January 6, 2026, for approval to apply under the Canada Business Corporations Act (the “CBCA”) for a certificate of continuance as a corporation under the CBCA. The board of directors of EBC may, however, without further approval of the sole shareholder of EBC, withdraw the application for continuance before it is acted on, in accordance with subsection 39.1(3) of the Act.
Note: The publication of this notice should not be construed as evidence that the approval will be issued. The granting of such approval will be dependent upon the normal review process and the discretion of the Minister.

LETTERS PATENT OF AMALGAMATION
Notice is hereby given, pursuant to the provisions of section 233(2)(a) of the Trust and Loan Companies Act (Canada), that Fiduciary Trust Company of Canada (“FTCC”) and 17440961 Canada Inc. (“Company”) [together, the “Applicants”] intend to make a joint application to the Minister of Finance for letters patent of amalgamation continuing the Applicants as one company under the name “Fiduciary Trust Company of Canada” in English and “La Société Fiduciary Trust du Canada” in French. The head office of the amalgamated company would be located in Mississauga, Ontario. The application for letters patent of amalgamation is conditional on the Company receiving the required regulatory approvals for acquiring control of FTCC (“Proposed Acquisition”).
The proposed amalgamation will take effect after the completion of the Proposed Acquisition. The effective date of the proposed amalgamation will be the date fixed by the letters patent of amalgamation. If the Proposed Acquisition is not completed, the Applicants will not amalgamate.
