COMERICA BANK

TRANSFER OF LIABILITIES

Notice is hereby given pursuant to subsection 537(2) of the Bank Act (Canada) [the “Act”] that Comerica Bank (“Comerica”), a foreign bank that is an authorized foreign bank under the Act, intends to apply to the Minister of Finance (Canada), on or after December 20, 2025, for an approval (the “Approval”) to transfer all or substantially all of the liabilities, in respect of its business in Canada, to Fifth Third Bank, National Association (“Fifth Third”), another authorized foreign bank under the Act.

Upon the satisfaction of all closing conditions, including the receipt of all necessary consents under all applicable laws, Comerica will merge with and into Fifth Third and, upon the consummation of the merger and without further action by Comerica, but subject to the prior approval of the Minister, all of the assets and liabilities and other obligations of Comerica and all of Comerica’s debtors and creditors, in each case with respect to its business in Canada, will become those of Fifth Third.

Any person objecting to the proposed Approval may submit an objection in writing to the Office of the Superintendent of Financial Institutions (Canada), 255 Albert Street, 12th Floor, Ottawa, Ontario K1A 0H2.

The publication of this notice should not be construed as evidence that the Approval will be issued to allow Comerica to transfer all or substantially all of the liabilities, in respect of its business in Canada, to Fifth Third. The granting of the Approval will be dependent on the normal Bank Act (Canada) application review process and at the discretion of the Minister of Finance (Canada).
