LETTERS PATENT OF AMALGAMATION

Notice is hereby given, pursuant to the provisions of section 250 of the Insurance Companies Act (Canada) [the “ICA”], that, subject to the approval of an amalgamation agreement by the Superintendent of Financial Institutions pursuant to section 247 of the ICA, Western Assurance Company, Intact Insurance Company and 13130126 Canada Inc. (together, the “Applicants”) intend to make a joint application to the Minister of Finance, on or after September 9, 2024, for letters patent of amalgamation continuing the Applicants as one company under the name “Intact Insurance Company” in English and “Intact Compagnie d’assurance” in French. The head office of the amalgamated company would be located in Toronto, Ontario.

A copy of the report of the independent actuary will be available for inspection by the policyholders of Intact Insurance Company and Western Assurance Company and will be sent to any of these persons upon written request to the Corporate Secretary, 700 University Avenue, Suite 1500-A, Toronto, Ontario M5G 0A1.

The effective date of the proposed amalgamation would be January 1, 2025, or any other date fixed by the letters patent of amalgamation.

Note: The publication of this notice should not be construed as evidence that letters patent will be issued. The granting of the letters patent will be dependent upon the normal ICA application review process and the discretion of the Minister of Finance.

WESTPORT INSURANCE CORPORATION

RELEASE OF ASSETS

Pursuant to section 651 of the Insurance Companies Act (Canada) [the “Act”], notice is hereby given that Westport Insurance Corporation (“Westport”) intends to apply to the Superintendent of Financial Institutions (Canada) on or after September 30, 2024, for an order authorizing the release of the assets that it maintains in Canada in accordance with the Act.

Any policyholder or creditor in respect of Westport’s insurance business in Canada opposing that release is invited to file an opposition by mail to the Office of the Superintendent of Financial Institutions (Canada), Regulatory Affairs Directorate, 255 Albert Street, Ottawa, Ontario K1A 0H2, or by email at approvals-approbations@osfi-bsif.gc.ca, on or before September 30, 2024.
