DEFINITY INSURANCE COMPANY

REDUCTION OF STATED CAPITAL

As required under subsection 79(5) of the Insurance Companies Act (Canada), notice is hereby given that Definity Insurance Company (the “Company”) intends to apply to the Superintendent of Financial Institutions (Canada) for approval to reduce the stated capital of the common shares of the Company in accordance with the special resolution passed by the sole shareholder of the Company on January 28, 2022, a copy of which is set out below.

“RESOLVED AS A SPECIAL RESOLUTION THAT:

  1. Subject to the approval of the Superintendent of Financial Institutions (Canada), and in accordance with section 79 of the Insurance Companies Act (Canada), the stated capital of the Company be reduced by March 31, 2022, by an amount of up to $400,000,000 in the aggregate (the “Authorized Limit”) by reducing the stated capital account maintained for its common shares, such amount to be distributed in one or more payments on or before March 31, 2022 to the sole shareholder of the Company;
  2. The directors and officers of the Company are hereby authorized and directed to apply under section 79 of the Insurance Companies Act (Canada) for approval of this resolution and such reduction of stated capital;
  3. The Company’s Executive Vice-President and Chief Financial Officer shall determine the amount and timing of each such payment, which shall be no later than March 31, 2022 and no greater in aggregate than the Authorized Limit; and
  4. Any officer or director of the Company is authorized and directed, for and on behalf of the Company, to execute and deliver all such documents and to do such other acts or things as may be determined to be necessary or advisable to give effect to this resolution, the execution of any such document or the doing of any such act or thing being conclusive evidence of such determination.”

Definity Insurance Company

NORTH AMERICAN SPECIALTY INSURANCE COMPANY

APPLICATION TO ESTABLISH A CANADIAN BRANCH

Notice is hereby given that North American Specialty Insurance Company (“NAS”), an entity incorporated and formed under the laws of Missouri, and an affiliate of Westport Insurance Corporation (“Westport”), intends to file with the Superintendent of Financial Institutions (the “Superintendent”), on or after February 21, 2022, an application under section 574 of the Insurance Companies Act (Canada) for an order approving the insuring in Canada of risks, within the following classes of insurance: property; accident and sickness; aircraft; automobile; boiler and machinery; credit; fidelity; hail; liability; marine; and surety. The head office of NAS is located in Kansas City, Missouri, and its Canadian chief agency will be located in Toronto, Ontario.

The application to the Superintendent is to establish a new Canadian branch of NAS. Currently, Westport operates in Canada through its Canadian branch. Subject to the approval of the Superintendent, it is the intention of Westport to transfer the operations of its existing Canadian branch to the proposed branch of NAS. Subject to regulatory approval in the United States, the name NAS will be changed to Swiss Re Corporate Solutions America Insurance Corporation, which would also be the name under which its Canadian branch would operate.

North American Specialty Insurance Company

UFSC HERITAGE LIFE INSURANCE FRATERNAL SOCIETY

CERTIFICATE OF CONTINUANCE

Notice is hereby given, pursuant to subsection 39(3) of the Insurance Companies Act (Canada), that UFSC Heritage Life Insurance Fraternal Society (“UFSC”) intends to apply to the Minister of Finance (Canada), on or after March 15, 2022, for approval in writing to apply under the Canada Not-for-profit Corporations Act for a certificate of continuance under that Act. It is proposed that upon such certificate of continuance coming into force the corporation’s legal name will be changed to UFSC Heritage Life Association.

Any person who objects to UFSC’s discontinuance from the Insurance Companies Act (Canada) may submit the objection in writing to the Superintendent of Financial Institutions, 255 Albert Street, 12th Floor, Ottawa, Ontario K1A 0H2, on or before March 15, 2022.
