Notice is hereby given that Royal Trust Corporation of Canada (the “Corporation”) intends to make application to the Superintendent of Financial Institutions, pursuant to subsection 78(5) of the Trust and Loan Companies Act (Canada), within three months after the date of the following special resolution, for approval to reduce the stated capital of the Corporation.

RESOLVED AS A SPECIAL RESOLUTION:

1) THAT that the stated capital account maintained by the Corporation for its common shares be reduced on or before September 30, 2011 (the “Distribution Date”) pursuant to Section 78 of the Trust and Loan Companies Act by an amount to be established by the Chair together with the Chief Financial Officer of the Corporation, which amount shall not exceed $340,000,000, such amount to be distributed to the shareholder on record as of the Record Date (as defined herein) [the “Distribution”], subject to approval of the reduction in stated capital by the federal Superintendent of Financial Institutions in writing.

2) THAT any director or officer of the Corporation or designate thereof, is authorized and directed, for and on behalf of the Corporation to make application to the Superintendent of Financial Institutions for approval of the reduction in stated capital and to do all such other acts or things as he or she may determine to be necessary or advisable to give effect to this resolution, including the publication of notice in the Canada Gazette, the doing of any such act or thing being conclusive evidence of such determination.

3) THAT the record date (the “Record Date”) for the purposes of the Distribution shall be the Distribution Date.

SEATON INSURANCE COMPANY

RELEASE OF ASSETS

Pursuant to section 651 of the Insurance Companies Act (Canada) [the “Act”], notice is hereby given that Seaton Insurance Company intends to apply to the Superintendent of Financial Institutions (Canada) on or after September 15, 2011, for the release of the assets that it maintains in Canada in accordance with the Act.

Any policyholder or creditor in respect of Seaton Insurance Company’s insurance business in Canada opposing the release must file notice of such opposition with the Office of the Superintendent of Financial Institutions, Legislation and Approvals Division, 255 Albert Street, Ottawa, Ontario K1A 0H2, on or before September 15, 2011.

The publication of this notice should not be construed as evidence that approval will be issued for the release of assets. The granting of the approval for the release of assets will be dependent upon the normal Insurance Companies Act (Canada) review process and the discretion of the Superintendent of Financial Institutions (Canada).
