APPLICATION TO ESTABLISH A TRUST COMPANY

Notice is hereby given that Pacific Equity Partners Fund IV GP (Jersey) Limited, a Jersey entity, Pacific Equity Partners Fund IV, L.P., a Delaware entity, Armor Acquisition LLC, a Delaware entity, Canadian Stock Transfer Holdings LLC, a Delaware entity, and Canadian Stock Transfer Company Inc., a Canadian entity, intend to file with the Superintendent of Financial Institutions, on or after April 16, 2011, an application for the Minister of Finance to issue letters patent incorporating a trust company under the name Canadian Stock Transfer & Trust Company, in English, and Société de fiducie et de transfert d’actions canadienne, in French, to carry on the business of a trust company in Canada. Its head office will be located in the city of Toronto, Ontario.

Any person who objects to the proposed incorporation may submit an objection in writing to the Office of the Superintendent of Financial Institutions, 255 Albert Street, Ottawa, Ontario K1A 0H2, on or before May 16, 2011.

Pursuant to Canada’s Insurance Companies Act (the “Act”), notice is hereby given that First Allmerica Financial Life Insurance Company intends to apply to the Superintendent of Financial Institutions (Canada), on or after April 25, 2011, for the release of the assets that it maintains in Canada in accordance with the Act.

Any policyholder or creditor in respect of First Allmerica Financial Life Insurance Company’s insurance business in Canada opposing that release must file notice of such opposition with the Office of the Superintendent of Financial Institutions, Legislation and Approvals Division, 255 Albert Street, Ottawa, Ontario K1A 0H2, on or before April 25, 2011.
