ACA ASSURANCE

RELEASE OF ASSETS

Pursuant to section 651 of the Insurance Companies Act (Canada) [the “Act”], notice is hereby given that ACA Assurance intends to apply to the Superintendent of Financial Institutions (Canada) on or after April 15, 2011, for the release of the assets that it maintains in Canada in accordance with the Act.

Any policyholder or creditor in respect of ACA Assurance’s insurance business in Canada opposing that release must file notice of such opposition with the Office of the Superintendent of Financial Institutions, Legislation and Approvals Division, 255 Albert Street, Ottawa, Ontario K1A 0H2, on or before April 15, 2011.

The publication of this notice should not be construed as evidence that approval will be issued for the release of assets. The granting of the approval for the release of assets will be dependent upon the normal Insurance Companies Act (Canada) review process and the discretion of the Superintendent of Financial Institutions (Canada).

ASSUMPTION REINSURANCE TRANSACTION

Notice is hereby given that the Canadian branch of COLISEE RE (“COLISEE”), pursuant to section 587.1 of the Insurance Companies Act (Canada), intends to make an application to the Superintendent of Financial Institutions (Canada) [the “Superintendent”] on or after March 28, 2011, for the Superintendent’s approval to enter into an assumption reinsurance agreement (the “Assumption Reinsurance Agreement”) with the Canadian branch of Partner Reinsurance Company of the U.S. (“PReUS”), under which COLISEE shall agree to cede to PReUS, and PReUS shall agree to reinsure, on an assumption basis, all of the insurance liabilities undertaken by COLISEE between January 1, 2006, and September 30, 2007, and subject to a quota share retrocession agreement effective as of January 1, 2006, between COLISEE and the Canadian branch of PARIS RE, including all present and future obligations under such risks.

A copy of the proposed Assumption Reinsurance Agreement relating to this transaction will be available for inspection by the policyholders of COLISEE during regular business hours at the office of the Chief Agent of the Canadian branch of COLISEE located at 1800 McGill College Avenue, Suite 2000, Montréal, Quebec H3A 3J6, for a period of 30 days following publication of this notice. Any policyholder who wishes to obtain a copy of the Assumption Reinsurance Agreement may do so in writing to the Chief Agent at the above-noted address.
