LETTERS PATENT OF INCORPORATION

Notice is hereby given, pursuant to subsection 25(2) of the Bank Act (Canada), that Carfinco Financial Group Inc., a corporation existing under the laws of the Province of Alberta and a subsidiary of Banco Santander, S.A., intends to file with the Superintendent of Financial Institutions (the “Superintendent”) an application for the Minister of Finance to issue letters patent incorporating a Schedule II bank pursuant to the Bank Act under the name Santander Consumer Bank, in English, and Banque Santander Consumer, in French, to carry on the business of a bank in Canada. Its head office will be located in the city of Edmonton, Alberta.

Any person who objects to the proposed incorporation may submit an objection in writing to the Office of the Superintendent of Financial Institutions, 255 Albert Street, Ottawa, Ontario K1A 0H2, on or before August 26, 2019.

Note: The publication of this notice should not be construed as evidence that letters patent will be issued to incorporate the bank. The granting of the letters patent will be dependent upon the normal Bank Act application review process and the discretion of the Minister of Finance.
