REDUCTION OF STATED CAPITAL

As required under subsection 75(5) of the Bank Act, notice is hereby given that Citibank Canada (the “Bank”) intends to apply to the Superintendent of Financial Institutions for approval to reduce the stated capital of the common shares of the Bank in accordance with the special resolution passed by the sole shareholder of the Bank on November 25, 2016, a copy of which is set out below.

LETTERS PATENT OF AMALGAMATION

Notice is hereby given that, subject to approval by special resolution of their respective shareholders, VersaBank and PWC Capital Inc. intend to jointly apply to the Minister of Finance pursuant to subsection 228(1) of the Bank Act, on or after December 30, 2016, for letters patent of amalgamation continuing them as a bank under the Bank Act, under the name VersaBank. Its head office will be located in London, Ontario.

Note: The publication of this notice should not be construed as evidence that letters patent will be issued to amalgamate the applicants as a bank. The granting of the letters patent will be dependent upon the normal Bank Act application review process and the discretion of the Minister of Finance.

XL INSURANCE COMPANY SE

RELEASE OF ASSETS

Pursuant to section 651 of the Insurance Companies Act (Canada) [the “Act”], notice is hereby given that XL Insurance Company SE, carrying on business as a branch in Canada under the same name in English, and Compagnie d'assurance XL in French, intends to apply to the Superintendent of Financial Institutions (Canada), on or after December 24, 2016, for an order authorizing the release of the assets that it maintains in Canada in accordance with the Act.

Any policyholder or creditor in respect of XL Insurance Company SE's insurance business in Canada opposing such release is invited to file an opposition by mail to the Office of the Superintendent of Financial Institutions (Canada), Legislation and Approvals Division, 255 Albert Street, Ottawa, Ontario K1A 0H2, or by email at approvalsandprecedents@osfi-bsif.gc.ca, on or before December 24, 2016.
