AGRICULTURAL BANK OF CHINA LIMITED

APPLICATION TO ESTABLISH A FOREIGN BANK BRANCH

Notice is hereby given, pursuant to subsection 525(2) of the Bank Act, that Agricultural Bank of China Limited, a foreign bank with its head office in Beijing, China, intends to apply to the Minister of Finance for an order permitting it to establish a foreign bank branch in Canada to carry on the business of banking.

The branch will carry on business in Canada under the name Agricultural Bank of China Vancouver Branch in the English form and Banque agricole de Chine succursale de Vancouver in the French form, and its principal office will be located in Vancouver, British Columbia.

Any person who objects to the proposed order may submit an objection in writing to the Office of the Superintendent of Financial Institutions, 255 Albert Street, Ottawa, Ontario K1A 0H2, on or before September 28, 2015.

Note: The publication of this notice should not be construed as evidence that an order will be issued to establish the foreign bank branch. The granting of the order will be dependent upon the normal Bank Act application review process and the discretion of the Minister of Finance.

REDUCTION OF STATED CAPITAL

As required under subsection 75(5) of the Bank Act (Canada), notice is hereby given that Hollis Canadian Bank (the “Bank”) intends to apply to the Superintendent of Financial Institutions (Canada) for approval to reduce the stated capital of the common shares of the Bank in accordance with the special resolution, passed by the sole shareholder of the Bank on June 30, 2015, a copy of which is set out below.

RESOLVED AS A SPECIAL RESOLUTION THAT:

  1. Subject to the approval of the Superintendent of Financial Institutions (Canada), and in accordance with section 75 of the Bank Act (Canada), the stated capital of the Bank be reduced in one or more payments over the next 4 months following the date hereof by an amount of up to $450 million in the aggregate (the “Authorized Limit”) by reducing the stated capital account maintained for its common shares, such amounts to be distributed to the sole shareholder of the Bank;
  2. The directors and officers of the Bank are hereby authorized and directed to apply under section 75 of the Bank Act (Canada) for approval of this resolution and such reductions of stated capital;
  3. The Bank's Chief Financial Officer shall determine the amount and timing of each such reduction of stated capital within the Authorized Limit; and
  4. Any two officers or directors of the Bank are authorized and directed, for and on behalf of the Bank, to execute and deliver all such documents and to do such other acts or things as may be determined to be necessary or advisable to give effect to this resolution, the execution of any such document or the doing of any such other act or thing being conclusive evidence of such determination.

LETTERS PATENT OF AMALGAMATION

Notice is hereby given, in accordance with subsection 32(2) of the Insurance Companies Act (Canada), that an application is intended to be made to the Minister of Finance for the issuance of letters patent continuing Oxford Mutual Insurance Company, a mutual property and casualty insurance company incorporated under the laws of the Province of Ontario, and having its head office at 682794 Road 68, RR 4, Thamesford, Ontario N0M 2M0, as a company under the Insurance Companies Act (Canada), subject to the approval of the mutual policyholders of the company.

Notice is hereby given, in accordance with section 250 of the Insurance Companies Act (Canada), that, immediately following the issuance of letters patent continuing Oxford Mutual Insurance Company as a company under the Insurance Companies Act (Canada), a joint application is intended to be made to the Minister of Finance by Oxford Mutual Insurance Company and North Waterloo Farmers Mutual Insurance Company (a mutual property and casualty insurance company subject to the Insurance Companies Act [Canada] and having its head office at 100 Erb Street East, Waterloo, Ontario N2J 1L9) for the issuance of letters patent of amalgamation to effect the amalgamation of Oxford Mutual Insurance Company and North Waterloo Farmers Mutual Insurance Company, subject to the approval of the mutual policyholders of each company. The amalgamated company will carry on business as a mutual property and casualty insurance company under the name “Heartland Farm Mutual Inc.” and will insure the following classes of insurance: property, liability, automobile, fidelity, boiler and machinery, accident and sickness, and hail.

Any person who objects to the proposed continuance of Oxford Mutual Insurance Company under the Insurance Companies Act (Canada) may, not later than September 15, 2015, submit a notice of objection in writing to the Superintendent of Financial Institutions, 255 Albert Street, Ottawa, Ontario K1A 0H2.
