CITIZENS BANK OF CANADA

REDUCTION OF STATED CAPITAL

As required under subsection 75(5) of the Bank Act, notice is hereby given that Citizens Bank of Canada (the Bank) intends to apply to the Superintendent of Financial Institutions for approval of the special resolution to reduce the stated capital of the Bank. A copy of the special resolution, passed by the sole shareholder on November 20, 2012, is set out below.

“RESOLVED AS A SPECIAL RESOLUTION that

  1. Subject to the approval of the Superintendent of Financial Institutions (Canada), and in accordance with section 75 of the Bank Act (Canada), the stated capital of the Bank be reduced by an amount of up to $25 million (the “Authorized Limit”) on or before March 31, 2013, by reducing the stated capital account maintained for its common shares and preferred shares, such amount to be distributed to the sole shareholder of the Bank;
  2. The directors and officers of the Bank are hereby authorized and directed to apply under section 75 of the Bank Act (Canada) for approval of this resolution and such reduction of stated capital;
  3. The Bank’s President and Chief Executive Officer and the Bank’s Chief Financial Officer shall determine the amount of any such reduction of stated capital within the Authorized Limit;
  4. Any two officers of the Bank are hereby authorized and directed to execute and deliver such documents and to do all such acts and things as may be necessary or useful to carry out the intention and give effect to this resolution.”

AECOM Canada Ltd., on behalf of the City of Greater Sudbury, hereby gives notice that an application has been made to the Minister of Transport, Infrastructure and Communities under the Navigable Waters Protection Act for approval of the plans and site of the work described herein. Under section 9 of the said Act, AECOM Canada Ltd. has deposited with the Minister of Transport, Infrastructure and Communities and in the office of the District Registrar of the Land Registry District of Sudbury, at 199 Larch Street, Sudbury, Ontario, under deposit No. S120377, a description of the site and plans for the replacement of the Halfway Channel Culvert, on Highway 144, in Halfway Lake Channel, in the township of Antrim, in the district of Sudbury.

Comments regarding the effect of this work on marine navigation may be directed to the Superintendent, Navigable Waters Protection Program, Transport Canada, 100 Front Street S, Sarnia, Ontario N7T 2M4. However, comments will be considered only if they are in writing and are received not later than 30 days after the date of publication of the last notice. Although all comments conforming to the above will be considered, no individual response will be sent.
