(“Pohjola”) and Omega General Insurance Company (“Omega”), intend to enter into an assumption reinsurance agreement (the “Agreement”) effective as of September 30, 2008, whereby Omega will reinsure, on an assumption basis, all of the insurance risks in Canada undertaken by Pohjola.

Notice is also hereby given that an application for approval under paragraph 587.1(2)(a) of the Insurance Companies Act to proceed with this transaction will be made by Pohjola to the Minister of Finance on or after October 21, 2008.
