APPLICATION TO CONTINUE AURIGEN CANADA LIMITED AS AN INSURANCE COMPANY

Notice is hereby given, pursuant to subsection 32(1) of the Insurance Companies Act (Canada), that Aurigen Re Capital Limited intends to apply to the Minister of Finance for letters patent continuing Aurigen Canada Limited, a corporation incorporated under the Canada Business Corporations Act, as an insurance company to carry on the business of life reinsurance in Canada.

The company will carry on business in Canada under the name Aurigen Reinsurance Company and its principal office will be located in Toronto, Ontario.

Any person who objects to the proposed incorporation may submit an objection in writing to the Office of the Superintendent of Financial Institutions, 255 Albert Street, Ottawa, Ontario K1A 0H2, on or before June 3, 2008.

ASSUMPTION REINSURANCE TRANSACTION

Notice is hereby given, pursuant to section 587.1 and section 254 of the Insurance Companies Act (Canada), that London and Midland General Insurance Company (“London and Midland”) and Triton Insurance Company (“Triton”) intend to make an application to the Minister of Finance (Canada) for the Minister’s approval, on or after May 20, 2008, for Triton to reinsure, on an assumption basis, all of the insurance liabilities of London and Midland, including all present and future obligations under such insurance liabilities, and for London and Midland to cede all such insurance liabilities to Triton, with an effective date of July 1, 2008.

A copy of the assumption reinsurance agreement relating to this transaction will be available for inspection by the policyholders of Triton and London and Midland and other interested persons during regular business hours at the head office of London and Midland and the head office of the Canadian branch of Triton, both located at 201 Queens Avenue, London, Ontario N6A 1J1 for a period of 30 days following publication of this notice.
