Bill of Sale and Assignment and Assumption Agreement dated as of January 23, 2003 (the "Bill of Sale"), pursuant to which Trinity Industries Leasing Company ("TILC"), for good and valuable consideration given by Trinity Rail Leasing Trust II (the "Company" in such Bill of Sale): (i) granted, bargained, sold, transferred, assigned and set over unto the Company and its successors and assigns all right, title, and interest of TILC, in and to (x) certain railcars described in Exhibit A to the Bill of Sale, and (y) any leases related thereto as described in Exhibit B to the Bill of Sale; and (ii) assigned all of its right, title and interest in and to all warranties or representations made or given to TILC with respect to the railcars by the manufacturer thereof.
